Kacy Rozelle is a Co-Founder and Managing Partner of St. Cloud. Mr. Rozelle is a member of the Investment Committee of St. Cloud and is responsible for sourcing, execution, and portfolio monitoring functions. Mr. Rozelle’s middle and lower-middle market corporate finance and investment banking experience also includes an additional ten years at Jefferies & Company, Inc., where he served as a member of the firm’s Taxable Fixed Income Executive Committee, and where he participated in the structuring and placement of more than $40 billion of securities, including more than $10 billion of public and private equity. Mr. Rozelle began his career at Houlihan Lokey Howard and Zukin, a Los Angeles-based investment bank, where he assisted on a wide range of services for middle market companies including mergers and acquisitions, financial opinions and valuation, and advisory assignments. Mr. Rozelle currently serves as a member or observer on the Board of Directors of AutoReturn, LLC; Stat Health Management, LLC; Burke Williams, Inc; and Renters Warehouse USA, LLC. Mr. Rozelle previously served on the Board of Directors of: Johnson Products Company, Inc.; SAFE Security, Inc.; National Holdings (OTC: NHLD.OB); Frontline Sales, Inc.; and Earl Scheib, Inc.; among others. Mr. Rozelle serves as a Western Region officer for the Small Business Investor Alliance (“SBIA”). Mr. Rozelle is also an active member of the Santa Monica Bay Chapter of the Young Presidents Organization (YPO gold) and recently served on the City of Los Angeles’ Department of Recreation and Parks, Palisades Park Advisory Board. Robert Lautz is a Co-Founder and Managing Partner of St. Cloud. Mr. Lautz is a member of the Investment Committee of St. Cloud and is responsible for sourcing, execution, and portfolio monitoring functions. Mr. Lautz has over 25 years of operating experience as a business owner, entrepreneur, and CEO of both private and public companies. At St. Cloud, he serves as operating partner and, if necessary, turnaround manager. Mr. Lautz’s prior business involvement includes being Chairman and co-founder of REO.com, an internet-based sales mechanism for bank foreclosed properties. Prior to that he served as the CEO of ListingLink, the original Internet-based residential property multiple listing service. Mr. Lautz formed and was Chairman and CEO of Indenet, Inc., a NASDAQ listed private satellite-based network that delivered digital advertisements and programming to the 3000+ national broadcast and cable television networks. Mr. Lautz began his career within Citibank’s Operating Group where he rose to become the Senior Financial Officer, responsible for all financial functions and strategic planning. He ultimately purchased this division from Citibank to form a start-up business named Property Data Services, which he built to the 3rd largest company of its kind domestically. He currently serves on the Board of Directors of SecureOne Data Solutions, LLC; Compact Power Equipment Center, LLC; Vestek Industries, LLC; EZ Own Auto Source, LLC; Apposite Technologies, Inc.; and Life Spine, Inc. Mr. Lautz earned a Master’s degree from the American Graduate School of International Management (Thunderbird), and a BS in Business Administration from Miami University in Oxford, Ohio.

Marshall Geller is a Senior Advisor to St. Cloud, a Los Angeles-based private investment firm focused on providing growth capital to the lower-middle market. Mr. Geller is a member of the Investment Committee of St. Cloud. He has extensive experience initiating, arranging, and making investments in public and private companies. Mr. Geller spent over twenty years as Senior Managing Director for Bear, Stearns & Company, with oversight of all operations in Los Angeles, San Francisco, Chicago, Hong Kong, and the Far East. He currently serves on the Board of Directors of GP Strategies Corporation (NYSE:GPX); COR Securities Holdings, Inc.; and the UCLA Health System. Mr. Geller previously served on the Board of Directors of California Pizza Kitchen (NASDAQ:CPKI) and led the Special Committee to sell the company. He was previously the Interim Co-Chairman of Hexcel Corporation (NYSE:HXL) and Interim President and COO of Players International, Inc. Mr. Geller also serves as a member of the Board of Governors of Cedars-Sinai Medical Center, Los Angeles. Mr. Geller graduated from California State University, Los Angeles, with a BS in Business Administration, where he currently serves on the Dean’s Advisory Council for the College of Business & Economics. Jeremy May is a Principal of St. Cloud and is responsible for sourcing, execution, and portfolio monitoring functions. Previously, Mr. May was a distressed and special situations investor at Ares Management and prior to that, TCW. At Ares and TCW, Mr. May was responsible for all aspects of the investment process from deal sourcing to ultimate exit. Mr. May has worked on the recapitalizations of, among others, Eldorado Casino Shreveport, Werner Ladder, Brown Jordan International and Advanstar Communications. Prior to TCW, Mr. May worked as an investment banker at UBS Investment Bank where he advised clients on a variety of equity and debt financings, sell-side and buy-side M&A transactions, restructurings, and leveraged buyouts in a broad range of industries. Mr. May currently serves as a member or observer on the Board of Directors of Blue Casa Telephone, LLC and Gen-E Holdings, LLC. Mr. May graduated from The University of California at Berkeley’s Haas School of Business with a degree in Business Administration.

Mr. Smith was also an Army officer and deployed in support of Operation Enduring Freedom in Afghanistan where he earned a Bronze Star Medal. He earned his MBA from the UCLA Anderson School of Management and BA in Economics and Political Science from UC Davis.
Eric Lai is a Vice President at St. Cloud and is responsible for sourcing, execution, and portfolio monitoring functions. Previously, Mr. Lai was an analyst at Litespeed Management, focused on special situation equity and distressed credit investments. Prior to that, Mr. Lai worked at American Securities where he was responsible for all aspects of the middle market private equity investment process. Mr. Lai began his career at Deutsche Bank Investment Banking Division in the Industrial Group where he advised clients on a variety of equity and debt financings, M&A transactions, and leveraged buyouts. Mr. Lai earned his B.A. in Economics from Yale University and MBA from Columbia Business School’s value investing program.
